Welcome to CarpeDM. We have tried to make this Service Agreement easy to read and understand. Please take time to read it carefully as it governs and describes the Services CarpeDM provides to you. This Service Agreement is a contract between Carpe Diem Social, Inc. ("we," "us," "our," or "CarpeDM") and its Members, Clients, and Customers (collectively, "you" or "your").
This Service Agreement applies to you when you are provided or purchase Services from CarpeDM, is entered into as of the date you are bound to our
Terms of Use, and is governed by our
Terms of Use. This Service Agreement and the Services are subject to change at our discretion. Any such changes will become effective upon notication, which we may effect by sending you notice by email and/or posting a revised Service Agreement on the Website or App, and your use of the Services after such notice constitutes acceptance by you of the changes. You agree to review the Service Agreement periodically to be aware of any such revisions. Capitalized terms not otherwise dened herein have the meanings ascribed to them in the
Terms of Use.
1. DEFINITIONS
We use certain words throughout our Service Agreement. When you see those words they are dened as follows:
● Agreement means this Agreement between the parties and any attachments to it.
● Approved Match Criteria means the Criteria upon which a Member has been approved to engage in the CarpeDM Services.
● Cadence means the rate at which Dates will be delivered to a Member.
● Candidate, and/or Date Candidate, means the person with whom a Member may be Matched; a Candidate may be a Member, Client, or Recruit.
● Candidate Presentation means the manner in which a Date Candidate is describedt o the Client; used interchangeably with “Match Proposal.”
● Candidate Pool means the pool of active CarpeDM Customers who are available for Matching with CarpeDM Clients; also referred to as “CarpeDM Community”.
● Customer means any person who is a Member, Client, or Recruit who is engaged with the Services.
● Member means a Customer who has been provided or purchased a CarpeDM membership including any associated Services.
● Member Services means the Services delivered to Members who have been provided or purchased one of CarpeDM’s available Service products.
● Coach means an employee or contractor trained by CarpeDM in dating and relationship guidance.
● Coaching means the performance by the Coach in delivering dating and relationship guidance to Members or Clients.
● Condentiality means keeping secret any non-public information shared with CarpeDM by any Member, Applicant, or Client.
● Date means a video chat between a CarpeDM Member and a Match Candidate, arranged by a Matchmaker or the CarpeDM algorithm.
● Date Feedback means the process by which a Member and Match Candidate informs the Matchmaker about their impressions of the Date.
● Date Planning means the process by which the Date is scheduled according to a dateand time.
● Forfeit(ure) means to lose the value of Services without Refund.
● Match(es) means the individual component of a package of Dates and purchased as a “Membership Package”; it also may be used interchangeably with “Date(s)”, or“Match Candidates”.
● Matchmaker means a CarpeDM representative who delivers the Service, in whole or part.
● Matchmaking means performance by CarpeDM in delivering the Services, which include, but are not limited to: (1) Searching/Screening Match Candidates, (2)Match Proposal, (3) Date Planning, and (4) Date Feedback.
● Member means a Candidate who is part of the CarpeDM Database who may be Matched with Members, Clients, or Applicants.
● Onboarding means the process by which a Member becomes an active recipient of the CarpeDM Services.
● Pause means the option of a Member to temporarily stop the Services.
● Pause Period means the extent of time that a Member may stop the Services.
● Phone Number Exchange means to agree to allow CarpeDM to give your phone number to your Match Candidate.
● Prole(s) means the description and information of, and provided by, a Member according to the requirements of the CarpeDM Platform.
● Prole Completion means the process by which a Member has provided the information required by the CarpeDM Platform.
● Applicant means a person who has been invited to become a part of the CarpeDM Database.
● Refund means a monetary amount that may be returned to a Member if provided for in the CarpeDM Cancellation and Refund
Policy.
● Relationship Success means a core goal that CarpeDM strives to achieve in working with its Members.
● Romantic Relationship means a non-platonic relationship between a Member and a Match Candidate (or event attendee) that is or may become exclusive.
● Screening means the process by which a Member is reviewed, over a video call, or previously recorded video, for potential
Matching; it is also used to describe a review of a user’s criminal record (also referred to as “Background Check” or “BGC”).
● Searching means the process by which a Member’s Prole is reviewed for potential Matching.
● Search Criteria means the Criteria upon which CarpeDM will conduct a Match Candidate Search for a Member.
● Services means the work performed by CarpeDM in delivering Matchmaking, Coaching, or Member Perks via the Website, App, Email, Text Message, or SocialMedia.
● CarpeDM Platform means the online digital structure upon which CarpeDM bases delivery of the Services.
● CarpeDM Database means the community of CarpeDM applicants, members, and clients who are available for Matching with CarpeDM Members; also referred to as “Candidate Pool.”
● Termination means ending the delivery of the Services to a Member, Client, Customer, Recruit or Applicant.
● User means any person who has interacted with, or engaged in, the Services, including the CarpeDM Website and Mobile App
2. OUR SERVICES
CarpeDM provides different levels of Service based on what is desired by a Member/Customer. Our Members desire the full range of Services as set forth below and described in Exhibit A. Our non-Member Customers do not desire the full range of Services and are content to be available for Matching with our Members. CarpeDM’s current service offerings are set forth below. For a complete description of Services see, Exhibit A. “Service Description”

Client Services. Clients may engage CarpeDM to provide Services which include a designated number of Matches, a dedicated Matchmaker(s), the proposal of Match Candidates, post-Date Feedback, and quarterly or monthly check-ins. Members may also receive: Date coaching and date etiquette advice, relationship-building tips, personalized insight and understanding from their Matchmaker, access to events and partner promotions, and other Services. Client Services may be purchased as a complete package or in installments, see 7. PACKAGE TYPES, PURCHASE OPTIONS, AND PAYMENT.

Coaching Services. Through a CarpeDM Coach we offer specialized Date Coaching, Date strategy, relationship readiness analysis, and goal setting and tracking — collectively "Coaching Packages." If you are given or purchase one of our Coaching Packages, you will be paired with a CarpeDM trained Coach.

Video-Connect Services (for Android users). Video Connect Dating Services, which may be available for Android device users, are delivered solely via video platform, with the match proposals, video dates, and date feedback coordinated off-app by CarpeDM’s matchmakers.

Member and Recruit Services (aka “Non-Client Services”). Applicants and Recruits are Matched with CarpeDM Members only and not with other Applicants or Recruits. Applicants and Recruits are included in the CarpeDM Database for Matching with CarpeDM Members. Applicants and Recruits are Screened for Dates with Members and may, but are not guaranteed to, receive post-Date Feedback. Dates are not guaranteed.
3. CUSTOMER RELATIONSHIPS AND MATCHMAKING
So long as a Member has an active Membership Package, such Members may be Matched with any Customer, including other Members, Clients, Applicants or Recruits (referred to collectively as "Date Candidates"), as long as they are active CarpeDM Members. A Matchmaker’s ability to utilize the entire CarpeDM community fosters opportunities for Dating success. During the Onboarding process, each customer identifies unique Criteria that guides their CarpeDM experience. Match options may not be available to you based on your Criteria, and often, the Criteria changes as part of the iterative CarpeDM experience.
4. THERE ARE NO GUARANTEES
We strive to provide our Customers the opportunity for Relationship Success however there are no guarantees. Given the complexity of human nature, the challenges of interpersonal relations, and other constraints, we do not provide any warranty that our Services will result in a specific timeline, general Cadence of Dating (e.g., one or two Dates per month) and communications with your Matchmaker, that you will find that special person using CarpeDM Services, or that you will be satisfied.You agree that, when you go on a Date, we cannot control how you or our Members may behave or discern anyone’s veracity or true intentions for participating in the Service. If that first Date leads to a second Date or Romantic Relationship, we are not able to control how the continued relationship unfolds and where it may lead. For more information, See our

5. CANCELLATION, TERMINATION, & PAUSING
We provide the opportunity to cancel or Pause your Membership. Special Cancellation and Refund terms may apply if you live in certain states as set forth in the
Terms of Use. We reserve the right to Terminate any customer relationship, at any stage of the experience, without Refund. For more details, please see our
Cancellation and Refund Policy.
6. CONFIDENTIALITY & SAFETY
Criminal Records Screening. We will perform a criminal records Screening on Members. For the avoidance of doubt, the Screening we perform does not constitute a background check under the Fair Credit Reporting Act. The criminal records Screening will include a review of criminal history including but not limited to any history of sexual assault and/or violence. If the Screening reveals a negative history, we may not be able to approve you as a Member, or continue with you as Member or Recruit. By agreeing to our
Terms of Use, you consent to conduct a criminal records screening. You also represent that you have disclosed to CarpeDM any prior criminal history, history of sexual assault or violence, personal bankruptcy filings or dispositions, and any other information that would materially impact your approval as a CarpeDM Member or impact CarpeDM’s ability to provide you the Services.
Safety. Members are solely responsible for their interactions with other Members. Your use of our Service is at your own risk. Please review our "
Community Guidelines" for more details regarding trust and safety protocols and our disclaimers.
7. PACKAGE TYPES, PURCHASE OPTIONS, AND PAYMENT
Package Types. CarpeDM offers Member Services in various Membership Packages, according to desired number of Matches. All Membership Packages include the full range of Member Services described in 2. OUR SERVICES. Membership Packages are subject to seasonal and promotional offerings and certain Package types may not be available at time of Purchase. All Membership Packages are subject to CarpeDM’s
Cancellation and Refund Policy.
Purchase Options. Membership Packages may be purchased as:
Paid-In-Full Purchase Option. This Purchase Option requires purchase-in-full of the designated Membership Package at the point-of-sale and is available for all Package types. Paid-In-Full Packages commence upon purchase and will continue until match fulfillment.
Installment Purchase Option. This Purchase Options allows for purchase of the designated Membership Package in installments. Unless otherwise specified at the point of sale, Installment Option packages may be purchased according to the following schedule: (1) an apportioned payment amount at point-of-sale that includes designated Member Services; (2) a monthly payment installment equal to the remaining Package cost divided by eleven (11) months charged to your credit card. Members acknowledge that they are not paying for a certain number of matches per month when electing to pay in installments. The Installment Purchase Option is provided by the CarpeDM as a courtesy to allow budget constrained Members to break up the membership fee into smaller payments.
Method of Payment. Except for packages purchased on installment, you may purchase the Services using a credit or debit card, wire transfer, or electronically via Automated Clearing House (“ACH”). You hereby authorize and consent to CarpeDM using your credit card without an original signature for the purchase of the Services. Installment purchases may only be made via credit card. You agree that for any purchases made on installment, CarpeDM may process your credit card automatically for any balance owed upon the designated due date and without additional notice to you. See Section 10 of the
Terms of Use for more information on payment terms.
8. MISCELLANEOUS
Cadence: Although we endeavor to produce a Match monthly or bi-monthly, depending on your Membership Package, this Cadence is impacted by geographic constraints, number of Candidates, your chosen Match Criteria, your willingness to adjust the Search according to input from your Matchmaker, and other factors that may affect the Candidate Search. The rate at which we will be able to produce Matches will differ and in some cases be very quickly and often, and in other cases be slower and less frequent. You agree that Match Cadence may vary and any statements made by CarpeDM in regards to such are for general benchmark purposes only.
Schedule Coordination: Our technology is built to allow Members to schedule video dates at times that are convenient for both. In the event that Members are unable to coordinate a video date, we work to accommodate individual schedules as best we can. You agree to inform your Matchmaker of scheduling complications to avoid delays, rescheduling, cancellations, and potential Match Forfeitures.
No Discrimination: We do not tolerate discrimination in any form towards our Members, clients, customers, contractors, associates, and employees. This includes hateful, offensive, disparaging, harassing, threatening, abusive, assaultive, defamatory, and harmful conduct or language that intentionally, or inadvertently, targets any individuals, groups, communities, affiliations, religions, and associations.If you have any questions or concerns relative to this Service Agreement, please email us at

Exhibit A: Service Description
Getting Started: Our commitment to new Clients begins with the signup and approval process, as CarpeDM teams begin collaborating on your Matchmaking journey. An initial delay in the process is rare, but sometimes occurs. In the event we learn that pairing you with a different Matchmaker may be more beneficial to your relationship goals, we may do so, in our sole discretion, and will notify you of the change. If you would like a different Matchmaker, you may request a transfer by emailing
ask@carpedmdating.com. However, we are not able to guarantee specific Matchmaker reassignment.
Profile Completion & Dating Readiness Modules: As part of your Profile Completion, you may be required to complete CarpeDM’s dating readiness modules; a series of video dating courses designed to prepare you for the CarpeDM matchmaking experience. Occasionally, new readiness modules may be added that you may be required to complete to continue receiving matches. You will be notified by CarpeDM and your Matchmaker should additional required course materials need to be completed. You may be required to complete other profile elements as designed in the CarpeDM app as a prerequisite to receiving matches.
Match Criteria & Qualified Matches. You will be required to designate “Match Criteria” that serves as the basis for “Qualified Matches.” Qualified Matches are matches served by CarpeDM or your Matchmaker that meet your selected Match Criteria; these matches will count towards your Membership Package. Your chosen Criteria may emphasize up to three (3) items from the available Match Criteria. From time-to-time CarpeDM may ask you to consider adjusting your selected Criteria in order to enhance the opportunity for success. You may not unilaterally alter your chosen Match Criteria after your approval as a CarpeDM Member and without consultation with CarpeDM. The Match Criteria you choose will impact the Candidate opportunities available to you. If we are not confident that we can service you given the number of Candidates available relative to your Match Criteria, we will endeavor to work with you to adjust it in order to access a more robust
Candidate Pool. If you are not open to expanding your Criteria — we understand. We will wish you the best in love and life and hope you find success outside of CarpeDM.
Your Matchmaker(s): You will meet your Matchmaker over a video platform to facilitate the "Matchmaker 1:1." The goals of the Matchmaker 1:1 are for the Matchmaker to get to know you and for you to confirm your Match Criteria for a Match; understand how the process works; establish communication and availability preferences with your Matchmaker; and officially begin your experience. The Matchmaker 1:1 video meeting may be recorded unless you clearly state to the Matchmaker that you do not agree to be recorded.
Our Matchmakers connect with Members over third party video applications throughout the US without geographic limitations. We are not responsible for the availability or performance of these applications. You are responsible for your proficiency, acquisition, and use of these applications.
Searching/Screening Match Candidates: A Matchmaker searches Profiles in CarpeDM’s community to identify potentially suitable Matches for a Member. In addition to any other Dating geographical locations selected on your Profile, the Matchmaker’s Search will include an area approximately 40 geographical miles in radius from your zip code. The Search area may reveal Candidates within the 40 mile radius however the Matchmaker’s Search will not be bounded by a specific area less than 40 miles which may limit your Candidate opportunities. The Matchmaker will Search according to a 10 year age range within reasonable proximity to your age, and subject to CarpeDM’s maximum age difference of 20 years. An age range of less than 10 years will only be considered in exceptional cases.
Please note, CarpeDM does not Screen for multiple-partner or alternative relationship preferences, nor sexual preferences beyond gender and sexual orientation. We believe alternative relationship preferences and sexual inclinations, practices, and pursuits are best left for an intimate discussion between two people intent upon entering a relationship when the time is right. We also do not Screen for highly particularized body dimensions ormeasurements beyond a general height range. The Matchmaker will search for a range of Candidates who exhibit characteristics within your preferred body types but we can’t guarantee body type Matching and may also recommend other Candidates we feel could be a good fit.
CarpeDM does not Screen for preferences related to personality tests/analysis, astrological signs, animal signs, ceremonial or divinatory practices, and other characteristics outside of our proprietary Matching methodology. We also do not Screen for particular types of educations beyond level of degree earned, or "professions" beyond general categories such as "professional" and/or employment status.
Match Proposals: Upon selecting the Match Candidate, CarpeDM will provide the Member with a description of the Candidate and how they may align with the Member’s Match Criteria. We ask you to acknowledge the time and effort CarpeDM puts into Searching, Screening, and Presenting a potential Match, by committing to host your video date with the proposed Match, absent extreme circumstances or the failure of CarpeDM to meet your Match Criteria without prior notice to you.
Choosing a Candidate is naturally a collaborative and iterative process, however, CarpeDM will decide, in its sole discretion, whether a Candidate who reasonably reflects a Member’s Match Criteria is a suitable Match. If you unreasonably unmatch a proposed Match or refuse to conduct the video date with a proposed Match that is in alignment with your Match Criteria, or a reasonable combination thereof, you will Forfeit the Match. This means you will lose the Match as well as the benefit and value of all of the Matchmaker’s work and discernment in selecting this Match Candidate for you.
Date Feedback: Date Feedback is the process in which you inform your matchmaker about your impressions of the Date. After each Date, the CarpeDM Platform will prompt you to submit your Feedback accordingly per the date feedback form prompts. As described above, don’t expect every Date to exactly hit the mark. This is part of the iterative process of Matchmaking. A Match counts towards your Service package regardless of the DateFeedback you provide. As part of the Feedback process, we ask that you submit your Feedback honestly and openly.
We also ask you to submit your response to the Feedback prompts immediately after the conclusion of the Date. This allows your Matchmaker to Service your experience most efficiently and productively. A written Feedback session conducted after the Date provides an opportunity for you to share thoughts with the Matchmaker and, if needed, alter any allowable Match Criteria before receiving your next Match.
Please be sure to indicate to your Matchmaker, either during the Matchmaker 1:1 or shortly thereafter, your preference for any follow-up Feedback session in addition to the written Feedback summary you receive from your Matchmaker. Follow-up Feedback sessions will be administered at the sole discretion of your Matchmaker. Your Matchmaker may share generally, all, or in part, your Feedback as it relates to your Match with the Date Candidate.
Coaching.
After purchasing a Coaching Package, you will be paired with one of our Coaches. Once we have paired you with a Coach, the Coach will reach out to you with a welcome email. The email will include instructions on how to prepare for your first coaching session. Please read the instructions and complete any assignments prior to meeting with your Coach for the first time. You will then meet with your Coach and together, you will create measurable goals. Goals will be documented, and you will rate their starting point with each goal. After the first meeting, you will receive a recap of the session, and your Coach will schedule your next session with you if applicable.
You acknowledge that: (1) Coaching is not therapy; (2) Coaching is a comprehensive process and may involve various areas of your life; (3) the Coaching process deals with ideas and actions, however you’re the final decision maker; and (4) just like CarpeDM Matchmaking, Coaching is an iterative process where your participation and practice informs each session and fosters the best chance for success.
Our Coaching Services function holistically in that each session informs and guides the next towards goal realization. Thereby, we ask you to schedule your sessions to be mindful of schedule conflicts and attend each session as scheduled. There is a strict 24 hour rescheduling policy. Sessions canceled within 24 hours will be Forfeited. Your first session must be scheduled within fourteen (14) days of purchasing a Coaching Package and within 30 days thereafter for each remaining session. Applicants and Recruits.
Applicants and Recruits may be screened by CarpeDM staff or technology to be matched with CarpeDM Members. In the event that a Match Proposal is available for an Applicant or Recruit, CarpeDM will contact the Applicant or Recruit via the CarpeDM app, email, or phone to coordinate the Match Proposal and Date with the CarpeDM Member. We ask you to please make yourself available for the call at your soonest convenience. Your participation in a screening call does not guarantee that you will be selected for a Match.
If you are selected for a Date, you agree to make yourself available, and participate in any and all scheduling and planning for the Date, as well as attend the date itself. If you need to cancel the Date you agree to provide 48 hour notice to the Matchmaker. Problematic Date conduct, repeated unavailability, and / or Date cancellation, may result in Termination of your access to CarpeDM. If a Date occurs, you agree to provide post-Date Feedback via email or the CarpeDM Feedback function immediately following the date or within 48 hours after the date. You may receive post-Date Feedback from CarpeDM. CarpeDM provides such Feedback on a case-by-case basis and at our discretion. We do not guarantee that you will be invited to a Date or that you will receive Feedback.
If you are "successfully matched," according to the definition contained in the CarpeDM
Cancellation and Refund Policy, you will be asked to verify the Match and required to submit a form of documentation such as: a testimonial regarding your CarpeDM experience and the successful Match; a brief video recounting the story of the Match; a photo shoot celebrating the Match; a social media review of your CarpeDM experience confirming the Match; an anonymized success story.
