CarpeDM Cancellation and Refund Policy

This CarpeDM Cancellation & Refund Policy is a contract between Carpe Diem Social,Inc. ("we," "us", "our", or "CarpeDM") and its customers ("you", "your"). It describes CarpeDM's Cancellation and Refund Policies regarding the Matchmaking Services it provides via the Terms of Use and Service Agreement. This Cancellation and Refund Policy applies to you when you purchase Services from CarpeDM, is entered into as of thedate you are bound to our Terms of Use, and is governed by our Terms of Use.

This Cancellation and Refund Policy is subject to change at our discretion. Any such changes will become effective upon notification, which we may effect by sending you notice by email and/or posting a revised Cancellation and Refund policy on the Website or App, and your use of the Services after such notice constitutes acceptance by you of the changes. You agree to periodically review the Cancellation and Refund Policy to be aware of any such revisions. Terms not otherwise defined here in have the meanings ascribed to them inthe  Service Agreement and Terms of Use.

1. CANCELLATION AND REFUND POLICIES GENERALLY

All purchase transactions made through the Services, whether it includes membership for the Services, coaching, or purchasing online products, are subject to this Cancellation and Refund Policy in effect at the time of purchase. Currently, CarpeDM's general refund policy is to not offer any refunds for purchases through the Services, except in CarpeDM's sole and absolute discretion. Certain of CarpeDM's subscriptions contain specific numbers of annual matches. If CarpeDM is unable to fulfill this requirement prior to the end of anannual term, then CarpeDM will extend the Services past the termination date until it fulfills the number of its matching obligation. We may make an exception on a case-by-case basis if a refund for a subscription offering is requested within fourteen (14) days of the transaction date, or if the laws applicable in your jurisdiction provide for refunds. To make a refund request, please contact billing@carpedmdating.com.

If you are selected as a CarpeDM Member, Client, Applicant or Recruit, (See 2. OUR SERVICES described in the Service Agreement) all purchases from CarpeDM are FINAL, although special terms may apply if you live in certain states as set forth in the Terms of Use or if there are special circumstances described herein. This Cancellation & Refund Policy, and the terms set forth in the Terms of Use, provide your sole and exclusive remedy and CarpeDM's sole liability for any dissatisfaction you may have with any of our Services. You acknowledge and agree that, as of the date of your selection as a Member or Client, CarpeDM has already commenced preparing for and actually performing the Services, and that our fees will be deemed to have been earned at Onboarding and will there after benon-Refundable except as set forth herein.

2. REFUND POLICIES

Non-Refundable Services:
All Services purchased are non-Refundable unless stipulated otherwise at time of purchase. For any purchase stipulated to be "Refundable," a non-Refundable "Onboarding and General Services Fee" equal to 50% of the total price of the package, less any applicable sales or promotional discounts, is retained. If there is any remaining value for unserved matches beyond the non-Refundable portion, that portion equaling the value of any unserved Matches may be Refunded pro-rata. The parties agree that the Onboarding and General Services Fee constitutes liquidated damages and is not intended as a penalty. For Services purchased on installment, all purchases are non-Refundable, subject to the Refund for Successful Matching provisions set forth below.

Refund for Successful Matching:
Under this Cancellation and Refund Policy "Successful Matching" is defined as anintroduction to a person, via a CarpeDM Matchmaker or at a CarpeDM hosted or sponsored event, with whom you have commenced an exclusive Romantic Relationship (asdefined in the Service Agreement). If you have purchased a Refundable Service package and are Successfully Matched prior to being served all of your Matches then you may be eligible for a pro-rata Refund of any unserved matches as specified above. This policy applies solely to Service packages designated "Refundable" at time of purchase.

Documentation Required for Successful Matching:
In order to obtain a Refund for Successful Matching, you will be required to submit a form of documentation verifying the Match and made available for possible marketing use and publication by CarpeDM. Some examples of such documentation may include one or all ofthe following: a testimonial regarding your CarpeDM experience and the successful Match; a brief video recounting the story of the Match; a photo shoot celebrating the Match; asocial media review of your CarpeDM experience confirming the Match; an anonymized success story. In all cases an express confirmation from your Match authenticating the success, as defined above, of the Match will be required. Refunds will be made at CarpeDM's discretion based on the documentation provided.

Other Remedies:
Although a Refund may not be available, other remedies may be available to you in accordance with the below and subject to CarpeDM's discretion:

● Subject to the "Pausing Service" and "Refund Pursuant Pause Period" in Section (3) below, you may Pause your experience for circumstances like exploring a promising relationship, or to accommodate travel and vacations, or scheduling conflicts.
● Gift or transfer the remainder of your unserved matches to a friend or family member that meets CarpeDM's Membership Criteria to purchase Services, with aminimum of three (3) transferable Matches; otherwise any transfer value is null and void. Gifted or transferred matches must be completed within the membership period. To gift or transfer your remaining matches, email ask@carpedmdating.com.
● Continue with your experience with your current Matchmaker or after being reassigned to a new Matchmaker.

Non-Refundable / Non-Transferable Promotional Bonus Matches:
From time to time CarpeDM may offer seasonal promotional Match Packages, or gift additional matches as a gesture of goodwill. These Packages may be in the form of Matches added to one or more of CarpeDM's existing Match Packages upon purchase of the Services, or later at CarpeDM's discretion. These Matches will be referred to as "BonusMatches". Bonus Matches are not Refundable or transferable and have no refundable or transferable value. Bonus Matches shall be used, as designated, at the start or at the completion of the purchased portion of your Match Package. Bonus Matches will bewholly excluded from any Refund calculation pursuant to the pro-rata Refund circumstances described above and will not impact the eligible Pausing Period.

Matchmaker Interviews, Consultations, and Deposits:
CarpeDM offers a one-time meeting with a Matchmaker for you to gain insight into your dating needs and to determine whether the Service is right for you. This meeting is referred to as a "Matchmaker Interview." Matchmaker Interviews are non-Refundable andnon-transferable.

3. MATCH FORFEITURE, CIRCUMSTANCES AFFECTING REFUND, AND TERMINATION OF SERVICES

Pausing Service and Forfeiture / Refund Pursuant to Pause Period:
Pausing the Services is available if you for up to 60 (collective, non-consecutive) days. You must Pause/Unpause your membership in the App to qualify. You may place your account on Pause at any time, subject to the following limitation: Pausing after being served a Match may result in your Forfeiture of the Match. If the Match is Forfeited then the value of the Match retained shall be in addition to the retention of the Onboarding and General Services Fee. Upon the expiration of the 60 day period, the Member must either resume use of the Services, cancel or transfer their membership as permitted herein and in the Terms of Use.

CarpeDM Termination Based on Communication:
If you are unresponsive or non-communicative to CarpeDM for a period of fourteen (14) days, and are not engaged in a Pause, CarpeDM may suspend your Service or Terminate your account and any Refund due may be withheld per the Customer conduct obligations set forth in our Terms of Use. If any Refund is given it will be for unserved Matches only and after deducting the Onboarding, General Service Fee, and applicable payment processing fee(s).

Right to Terminate and Termination Based on Participation / Conduct / Relocation:
We reserve the right to Terminate any Membership, at any stage of the experience, without Refund, if: (1) you consistently or repeatedly refuse an introduction to selected Matches or fail to participate in the Services without notice to CarpeDM; (2) you exhibit a problematic or repeated lack of availability to either the Matchmaker or to your Matches; (3) Matches report to us that you behaved poorly before, during, or after your video or in-person date; (4) you provided false or misleading information to either us or to selected Matches; (5) you relocate to a geographical location in which CarpeDM is unable to provide you the services; (6) you exhibit inappropriate behavior toward our staff or Members of our community; or (7) you violate any of the terms of your Agreements. Please see our Terms of Use, generally and Section 4, specifically.

4. CANCELLATION AND REFUND PROCEDURES

Cancellation Process:
Subject to any statutory Buyer's Right to Cancel, as set forth in the Terms of Use, any cancellation request must be submitted in writing to CarpeDM by contacting ask@carpedmdating.com or by mailing or delivering a signed and dated notice that states that you, the buyer, are canceling this Service Agreement or requesting a Refund, or words of similar effect. In your notice, please include your name, email address, telephone number, and the reason you are canceling the Service or requesting a Refund. Notices may be sent to: Carpe Diem Social, Inc., 4196 Merchants Plaza #517, Woodbridge, VA 22192,United States.

Refund Process:
Refund requests must be submitted in writing to CarpeDM by contacting ask@carpedmdating.com. Once we have received your request for a Refund, we will evaluate the request and inform you if you qualify for a Refund. You must use our Refund process prior to initiating any Refund remedy (including any "chargeback" or other Refund programs) directly through your banking institution. If you do so prior to engaging our Refund process, we will consider your Refund request null and void, cancel your membership immediately, and we will no longer be able to assist you with your request. In the event that your banking or credit institutions resolve your claim in CarpeDM's favor, then you will Forfeit any and all remaining Services and will not be Refunded. Approved Refunds may be subject to certain credit card processing fees and delays for which CarpeDM is not responsible. You must sign CarpeDM's standard Settlement and Release Agreement to accept your Refund.

Purchases made via Automated Clearing House ("ACH"):
If you purchased Services by means of an automated clearing house system (ACH) your Refund (if any) may be subject to delay due to bank processing. CarpeDM is not liable for such delays to Refund processing under any statutes, regulations, policies, or other laws governing Refund processing durations. Refunds granted for purchases made via ACH after two (2) years from date of purchase will not be available through an electronic payment processor and will be administered manually by bank check.

App Subscriptions and Cancellations and Refunds:
If you subscribed using an App Distributor (e.g., Apple ID, Google Play), you must cancel through your App Distributor. If you subscribed through your Apple ID, Refunds are handled by Apple, not CarpeDM. You can request a Refund from Apple through your Apple ID account on your phone or at https://getsupport.apple.com. If you do not want your subscription on the App to renew automatically, or if you want to change or terminate your subscription on the App, you must log in to your App Distributor Account and follow instructions to manage or cancel your subscription, even if you have otherwise deleted your account with us or if you have deleted the App from your Mobile Device. For example, if you subscribed using your Apple ID, cancellation is handled by Apple, not CarpeDM. To cancel a purchase made with your Apple ID, go to Settings > iTunes & AppStores > [click on your Apple ID] > View Apple ID > Subscriptions, then find your CarpeDM subscription and follow the instructions to cancel. You can also request assistance at https://getsupport.apple.com. Similarly, if you subscribed on Google Play, cancellation is handled by Google. To cancel a purchase made through Google Play, launch the Google Play app on your mobile device and go to Menu > My Apps > Subscriptions, then find your CarpeDM subscription and follow the instructions to cancel. You can also request assistance at https://play.google.com. If you cancel a subscription, you may continue to use the canceled Service until the end of your then-current subscription term. The subscription will not be renewed when your then-current term expires.
